The following is a revised copy of our newly proposed

By-Laws.  A committee of three people have worked on this since the spring of this year.  They have completed their work and are now presenting their revision of our By-Laws that were initially accepted by our club decades ago (1984) when the club first came into being.  After years of experience, the club decided to revise the By-Laws to reflect changes that need to be done.  Please read them carefully.  Should you have any questions, please email us at madatvclub@yahoo.com and we will get back to you with answers.  The club will have a vote of acceptance or rejection in the coming weeks.  We will post our voting date on this site.

Proposed Bylaws

(Revised 2011)

 

Article I. Name & Purpose

Section 1.  The Name of this corporation is Madawaska Valley ATVenture Club with a mailing                           address of P.O. Box 265, Madawaska, Maine 04756. 

 

Section 2. The purpose of the Madawaska Valley ATVenture Club is:

  •        To stimulate and advance the general welfare and safety of ATV recreation.             
  •        To Serve in the interests of and defend ASTV owners against displinary legislation, regulations, and burdensome taxation.            
  •         To develope a fraternal spirit among ATV clubs and other outdoor enthusiasts.                    
  •         To perform all desirable and lawful functions for the successful operation of the Club and in the general public interest.                      
  •          To promote goodwill between ATV operatiors, landowners and law enformcement officers and agencies.                    

 Section 3. The corporation motto shall be “Enjoy Don’t Destroy.”

 Section 4.  Dissolution of Entity

      ·      In the event of the Club dissolving, the Executive Board, at their discretion, will dispose of all Club assets as deemed appropriate and with the approval of members present at the meeting.

 

Article II. Membership

Section 1. Membership in the Club shall consist of:

a)                   Primary Members –

b)                   Associate Members – Members whose primary membership is with another club.

c)                   A single/family membership is a household with dependent children under the age of eighteen.

Section 2. Application for membership in the Club will be available at any time to any individual/s

               interested in the All Terrain Vehicle recreational sport.

 

Section 3. Each member, age 18 and older, shall be entitled to one vote.

 

Section 4. The Executive Board may establish the qualifications and rights of Associate    

               Members.

Section 5. Application for membership shall be made in writing addressed to the Secretary of the

               Club on the appropriate form containing an agreement by the applicant to abide by the

               Bylaws of the Club.

 

Section 6. A member may resign from the Club at any time upon written notice to the Secretary.

Section 7. Member(s) can be terminated for violating the Club Bylaws or the State of Maine All

               Terrain Vehicle Laws & Rules.

 

Section 8.  Membership in the Club is May 1st of the current year to April 30th of the following

                year and will consist of members listed on the yearly member roster.

  

Section 9.  At any Club function (i.e.: BBQ’s, parades, club rides, etc.), all children under the age

of 16 (sixteen) shall be under the direct supervision of a parent or guardian.  The Club  takes no liability at Club functions.

Section 10. The dues for membership will be set annually at the meeting in February by the                      Executive Board.

           

Article III. Management

                Section 1.  The management of the Club will be entrusted to the:

  •                      Members
  •                      Officers
  •                      Executive Board
  •                      Board of Directors
  •                      Robert’s Rules of Order Newly Revised, as applicable guidelines for the Club

Section 2.  The Executive Board will not seize, nor hold by force or without right, the power of                    the Club members at a member meeting.

          Section 3.  A minimum of 5 members present at any member meeting is needed                to conduct business for the Club.

          Section 4.  A majority vote is a number more than half of the total of the members present.

  •                Any formal action taken at a memeber meeting will require a majority vote.                     
  •                A majority vote will have the final say of all functions taking place or to take    place within the Club.                   

          Section 5.  Officers, BOD members, and committee chair members will have five (5) days  to return a response and/or answer to any email and/or call pertaining to business of the Club or its function(s).

 

Article IV. Officers

Section 1. The Officers of the Club shall be: President, Vice-President, Secretary, Treasurer, and                Trail Master.  The offices of Secretary and Treasurer may be held by the same person.

Section 2. The officers shall be elected from the membership by the majority vote of the             members.  Any officer may be removed from office by the affirmative vote of two-thirds (2/3) of the whole Executive Board. All officers must be 18 years old or older at the time of election.

Section 3. All officers shall take office immediately upon election and hold office for one year or

until successors shall have been elected and qualified.  The President may not hold office for more than two successive terms.

 

Article V. Directors

Section 1. The Board of Directors shall consist of 6 Directors, each of whom shall be a

member of the Club.  Directors shall be elected at the annual meeting of   

membership and shall take office at the close of the annual meeting for a term of 3 

years.  No Director shall be elected to serve more than two successive terms. 

 

Article VI. Executive Board

Section 1.  The Executive Board will be made up of the Officers and Directors.

Section 2.  This Board shall possess the authority to hold executive session meetings and may            require any officer, official, or contractor to attend any meeting deemed necessary.

 

Section 3.  These meetings can be called by the President or any three members of the Executive       Board of Directors.

 

Section 4.  Vacancies in the Executive Board shall be filled by a 2/3 vote of the Executive Board                       to complete existing term.

Section 5.  All issues brought to the Executive Board within the month, will be brought up at the                          next monthly meeting before the Membership for vote.

Section 6.  A majority of the members of the Executive Board shall constitute a quorum for the                         transaction of club business.

Section 7.  The Executive Board may appoint Club committees, fill any vacancies or change the membership in Club committees.  The Executive Board may, by resolution, delegate                         such authority to the Club President.

Section 8.  The Executive Board may employ whatever personnel they deem necessary, and for which funds are available, to aid in the management and programs of the Club and may authorize the expenditure of Club funds in any other manner provided such actions are                             in the proper furtherance of the purpose of the club.

 

Section 9.  The Executive Board will not abolish any committee without the majority vote of the                       members present at a member meeting.

 

Section 10. In the event a Board member is unable to attend a meeting, every attempt will be made to notify any other Board member of the absenteeism.

 

Section 11. If a member of the Board does not attend three (3) consecutive unexcused meetings,                        the member can be removed from the Board by a majority vote of the                                          Executive Board members present at an Executive Board meeting.

 

Article VII. Meetings

Section 1.  The annual meeting of the members of the Club shall be held at the time and place                           designated by the Executive Board.

 

Section 2.   Regular meetings of the members of the Club shall be held monthly or as often as needed, at the time and place fixed by resolution at the previous meeting or designated by the President or by the Executive Board.

Section 3.  Special meetings of the Club may be called by the Board of Directors or by the President or by any group of 10 members by giving at least seven (7) days written notice of the time, place, and purpose of each special meeting.

Section 4. A majority of the present members shall constitute a quorum.  Any formal action taken at any meeting of the membership shall require a majority vote of those members present.

Section 5. The President will conduct all meetings according to the Agenda and when an agenda topic is discussed the President will acknowledge that person wishing to speak by the showing of a hand.  This person will have up to ten (10) minutes to discuss the topic at hand and at the end of the ten minutes, the floor will be given to the next person wishing to discuss the topic at hand.  It will be the President’s decision to call for a vote on the topic or to table the topic for later discussion.

Section 6.  Written notice of the date, day, time, and location of the Annual Meeting will be prepared and distributed, by the Secretary, to members listed on the current member roster.

 

Article VIII. Fiscal Year

                Section 1. The fiscal year of the Club shall commence on the first (1) day of May and shall end on the thirtieth (30) day of April.

 

Article IX. Election Procedures

Section 1. A Nominating Committee of at least 3 persons shall be appointed by the Board of

               Directors from the members.

 

Section 2. The Nominating Committee shall place in nomination candidates for election to the

members for each prospective vacancy from among the names of the Club’s members.       Nominations will also be accepted from the floor.

  •      The Nominating Committee has been appointed and acknowledges the instructions of the committe.                    
  •      The candidate's names will be listed on the official ballot.                    
  •       Additional spaces will be provided to write in any other possible candidates as well as the     specific year(s) of term for all positions.      
  •       All official ballots will be distributed by mail, by the Secretary, to all members of the member roster thirty (30) days prior to the scheduled Annual Meeting.       
  •       Ballots must be received no later than the day of the Annual Meeting, and will be taken to the Annual Meeting.       
  •        Official ballots will be provided at the Annual Election of Officers & Board of Directors and Member Meeting in the absence of a lost or forgotten ballot(s).  The official ballot will only be accepted on the Honor System.       

Section 3. The Tally Committee has been appointed and acknowledges the instructions of the           committee.

  •      Majority votes are declared by the President therefor the candidates are elected to the positions.                    

 

Article X. Amendments

                Section 1. The amended or revised Bylaws will be approved by a majority vote of the members present at the Annual Meeting.

 

                Section 2. These By-Laws may be amended, altered or repealed, by a 2/3 vote of the membership present at any regular or special meeting, providing that notification was made and posted at least (30) days prior to the date of such meeting.
